Recap of Jim Cramer's radio show on Thursday July 28.

Cramer's 10 Commandments - Cramer reviews the 10 Commandments of investing he developed when dealing with the market in the 90s.

1. Never Turn a Trade into an Investment: Don't sit on a trade if it isn't doing what you expected it to do.
2. Your First Loss is Your Best Loss: If your trade starts moving downward, follow your instincts and get out quickly. "People can feel when a trade is going awry, but because of ego, because of pigheadedness, they don't want to hear the thunder,"
3. It's OK to Take a Loss when You Already Have One: People are often in denial about losses if they are just on paper, but it is better to go ahead and take a stock off the table than to deal with the pain later on.
4. Never Turn a Trading Gain into an Investment Loss: If a trade is making you money, cash in, and don't treat it like an investment. Cramer once broke this rule and lost an enormous amount of money. "A trade is just a trade. If you turn it into an investment, you are overstaying your welcome."
5. Tips are for Waiters: Rely on your own homework and not on stock rumors.
6. You Don't Have a Proft Until You Sell: Sometimes people delay selling because they are worried about taxes, but the loss incurred by waiting will be much greater than what you will pay Uncle Sam.
7. Control Your Losses Because the Winners Take Care of Themselves: Keep track of your portfolio and weed out problem stocks. Don't sit and wait for a poor stock to make a comeback.
8. Don't be Afraid that You are Missing Out: If you are concerned about missing out, you are probably coming in to late, and it is a better idea to wait for the next opportunity.
9. Don't Trade on the Headlines: The press just wants to tell a good story, and are rarely correct about the market.
10. Don't Trade on Flow:If you see a trend, you might think others know something you don't, but if you go with the flow, you could get taken down.

My understanding:

1. Never Turn a Trade into an Investment

  • Do not hold on a position too long without any stop loss.
  • Sell to have gain when position has some gain.
2. Your First Loss is Your Best Loss
  • I have to set any position a stop loss to protect the capital. Do not take risk.
  • First loss is my best loss. It is true. There is always opportunity to have some gain. Do not  hold the position and marry the stock.
3. It's OK to Take a Loss when You Already Have One
  • It is OK to take a stock off the table, do not gamble for market risk like earnings report. Specially do not hold a small capital stock too big position and too long.

Chinese Airlines Plan New U.S. Flights for Summer 2024

U.S.-China flights are one step closer to returning to normal.

The U.S. Department of Transportation (DOT) approved increased frequency for China-U.S. flights in late February, allowing Chinese passenger airlines to boost their weekly round-trip U.S. flights to 50 starting on March 31. While the new rate is higher than the current 35 flights, it only returns the market to one-third of pre-pandemic levels.

计划新增的航班为:

自3月31日-5月2日,北京往返西雅图,航班号为HU495/HU496,逢周二、四、六执飞;

Beth Potter

Beth Potter

Can a capital loss be claimed for investments held within a registered account?

Our response:

No, capital losses can’t be claimed for investments held within registered accounts like an RRSP, RRIF, or TFSA. Registered accounts hold special tax advantages in that they allow your investments to grow tax-free but conversely you cannot use capital losses on investments held within registered accounts to offset gains within or outside of registered accounts.

Understanding Debt/Equity Swaps

Understanding Debt/Equity Swaps

A debt/equity swap is a refinancing deal in which a debt holder gets an equity position in exchange for the cancellation of the debt. The swap is generally done to help a struggling company continue to operate. The logic behind this is an insolvent company cannot pay its debts or improve its equity standing. However, sometimes a company may simply wish to take advantage of favorable market conditions. Covenants in the bond indenture may prevent a swap from happening without consent.

In cases of bankruptcy, the debt holder does not have a choice about whether he wants to make the debt/equity swap. However, in other cases, he may have a choice in the matter. To entice people into debt/equity swaps, businesses often offer advantageous trade ratios. For example, if the business offers a 1:1 swap ratio, the bondholder receives stocks worth exactly the same amount as his bonds, not a particularly advantageous trade. However, if the company offers a 1:2 ratio, the bondholder receives stocks valued at twice as much as his bonds, making the trade more enticing.

Why Use Debt/Equity Swaps?

Debt/equity swaps can offer debt holders equity because the business does not want to or cannot pay the face value of the bonds it has issued. To delay repayment, it offers stock instead.

In other cases, businesses have to maintain certain debt/equity ratios and invite debt holders to swap their debts for equity if the company helps to adjust that balance. These debt/equity ratios are often part of financing requirements imposed by lenders. In other cases, businesses use debt/equity swaps as part of their bankruptcy restructuring.

Debt/Equity and Bankruptcy

If a company decides to declare bankruptcy, it has a choice between Chapter 7 and Chapter 11. Under Chapter 7, all of the business's debts are eliminated, and the business no longer operates. Under Chapter 11, the business continues its operations while restructuring its finances. In many cases, Chapter 11 reorganization cancels the company's existing equity shares. It then reissues new shares to the debt holders, and the bondholders and creditors become the new shareholders in the company.

Debt/Equity Swaps vs. Equity/Debt Swaps

An equity/debt swap is the opposite of a debt/equity swap. Instead of trading debt for equity, shareholders swap equity for debt. Essentially, they exchange stocks for bonds. Generally, Equity/Debt swaps are conducted in order to facilitate smooth mergers or restructuring in a company.

Example of a Debt/Equity Swap

Suppose company ABC has a $100 million debt that it is unable to service. The company offers 25% percent ownership to its two debtors in exchange for writing off the entire debt amount. This is a debt-for-equity swap in which the company has exchanged its debt holdings for equity ownership by two lenders.

A debt/equity swap | SABR stock

A debt/equity swap is a mechanism a company utilizes for financial restructuring. It can also be viewed as a renegotiation of debt. In a debt/equity swap, a lender receives an equity interest such as shares of stock in the company in exchange for the cancellation of a company's debt to them.

I've watched this exact pattern before. Here's what I noticed. 1. Overall or seasonal optimism 2. Approximate $4 mark before gap downs begin 3. Board changes 4. Issuance of bonds or restructuring 5. Good news blips to keep the retailers hanging on, yet good news is coupled with gap-downs 6. Blackrock, Vanguard, Statestreet 7. Bot trades by large institutions keeping trades within a 1 or 2 cent range for lengthy periods of time so they can consolidate shares and forbid scalpers to make quick money on short trades. I believe the market makers are doing this regardless of the news we hear. They play all sides and win whether it's going short or long. Anyone else see this?

Jensen Huang, Founder and CEO of NVIDIA

Here is the link.

In this View From The Top interview, Shantam Jain, MBA ’24, speaks with Jensen Huang, Founder and CEO of NVIDIA. As of March 1, 2024, NVIDIA is the third most valuable company on Wall Street, with over $2T in market value. Jensen shares his experience founding NVIDIA, getting funded, building the first killer application for NVIDIA’s technology, deciding which markets are worth exploring, finding the conviction in making non-consensus bets, steering the company through challenging times, designing the right organization structure, and finally, his views on the AI revolution. Excerpts from the interview: - On reputation: “You can have a good or bad interview, but you can't run away from your past, so have a good past; I was probably Denny's [first job] best dishwasher” - On early days: “In order for NVIDIA to succeed we needed another startup to succeed—EA… and EA’s CTO was 14 and had to be driven to work by his mom… that’s who we were relying on” - On markets: “If someone else can do it, let them do it; focus on--if I don't do it, it won't get done” - On core beliefs: “My reaction during that time [when NVIDIA lost 80% of market value in the financial crisis], is the same reaction I had about this week [when NVIDIA crossed $2T and became the 3rd most valuable company on Wall Street]” - On unique organizational design: “You have to go back to first principles ... as a CEO I have to architect the company and create an organization that allows my employees to do their life’s work”

Jen-Hsun Huang: Stanford student and Entrepreneur, co-founder and CEO of NVIDIA

Every successful thing needs to be torn down and rebuilt. In more of an intimate conversation than a lecture, Huang relates his experience as an engineer, entrepreneur, and innovator. Find out how he meets the ever-constant challenge of re-invention as co-founder and CEO of NVIDIA.
